It is a true business emergency when a business experiences the theft of trade secrets, infringement on their valuable IP assets, a breach of employee agreements, among other threats. This book explains how to effectively respond with an injunction or a temporary restraining order (TRO).
The first part of the book explains temporary restraining orders (TROs) and preliminary injunctions in general: what they are; the factors required to obtain one; the order; bonds; enforcement; reconsideration, modification, and appeal; and strategic and tactical considerations.
More detailed information about specific situations is the focus of the second part of the book, looking at recurrent fact patterns in which injunctions are frequently sought: preserving assets; protecting against infringement of different types of intellectual property; restrictive covenants; and shareholder disputes. This second edition includes new chapters on declaratory judgments, an alternative option for the practitioner facing a business emergency, and on limited liability companies (LLCs).
TROs and Preliminary Injunctions provides dozens of sample forms, charts and documents to use in preparing and executing injunctions and temporary restraining orders, state-by-state charts, and cites numerous examples of actual cases that reflect the strategies outlined in the book. Topics include:
Who can use this book? Lawyers, in-house counsel, or sophisticated businesspeople, entrepreneurs, and professionals who might now or in the future face a business emergency, one in which fast legal action is essential to preserve rights or defend them.
