With the enactment of the 2010 Amendments contained in the 2010 Official Text of the Uniform Commercial Code (UCC) by all 50 states, the District of Columbia, and Puerto Rico, it became necessary to update Forms Under Article 9 of the UCC. This third edition of Forms under Article 9 of the UCC is significantly updated and expanded to include materials designed to aid both the new and the seasoned practitioner. It is intended for use by both in-house counsel and counsel representing either party in any secured transaction. The forms regularly used to grant, perfect, and enforce security interests under UCC Article 9 have been comprehensively annotated, making the third edition a hybrid, useful to both the academician and the practitioner. Like the previous editions, it contains industry-specific forms, including 16 types of security agreements and other documentation regularly used in secured transactions, such as an intercreditor agreement, a payoff letter, and enforcement of security interest documents. Regularly negotiated provisions are highlighted and the practical reasoning behind each party’s position is explored. Unlike the previous editions, the third edition also provides many charts and summaries indicating, among other things, state-specific variations of the 2010 Amendments. Also new to this edition, an online website accompanies the book that includes customizable and easy-to-use forms and agreements.
