    Sharing Legal Fees with a For-Profit Corporate Employer April 24, 1995 If a corporate in-house lawyer provides services to third persons for a fee, the lawyer violates Model Rule 5.4(a) if the lawyer turns over to the corporation any portion of the fee beyond the cost to the corporation of the services provided. Similarly, if an in-house lawyer represents her corporate employer in successful litigation in which counsel's fees are awarded to the lawyer, it is a violation of Model Rule 5.4(a) for her to share with the corporate employer any portion of the fees awarded to her beyond the amount that would reimburse the corporation for the corporation's cost of its in-house counsel's handling of the matter.
