Speaker: Philip Wood, Philip Wood CBE, QC (Hon), MA (Oxford), LLD (Hon, Lund), Writer
Outline: Philip Wood is a world-renowned expert in world comparative financial law, insolvency, and financial regulation. He is currently working on a ground-breaking comparative law research project looking at choice of the governing law of major international financial transactions. In his address he will highlight research just completed which highlights significant practical differences between English law and the other main legal systems of the world when it comes to the structuring of complex cross border deals.

In particular, we will consider recent covenant innovations and discuss market reactions thereto; disclosure issues presented by comparative periods impacted by the COVID-19 pandemic and other shocks, as well as the current geo-political environment; and the current state of the high yield bond market, availability of bridge financing and marketing trends.

Outline: The panel will discuss ethical issues that arise in capital markets transactions. The focus will be on a variety of issues that arise in markets transactions where an attorney's ethical obligations are implicated. The panel will address these issues by reference to a series of practical examples and case studies. The panel will consider how both the ABA rules and SRA Standards and Regulations might apply to the relevant fact pattern.
