Centene Corporation and Magellan Health, Inc. have completed their definitive merger agreement for Centene to acquire Magellan for $2.2 billion in a $95 per share cash transaction. The parties believe the transaction “will broaden and deepen Centene's whole health capabilities and establish a leading behavioral health platform” by allowing Centene to establish one of the largest behavioral health platforms across 41 million unique members. Additionally, the transaction will add 5.5 million new members on government-sponsored plans, 18 million third-party customers utilizing specialty health services, 2 million PBM members, and 16 million medical pharmacy members to Centene’s current members.
