Under Chairman Gary Gensler, the SEC has taken an activist approach, issuing new rules, reinterpreting old rules, and finally issuing expansive compensation clawback rules after a 12-year delay, all of which include a renewed focus on corporate governance matters. In addition, the SEC’s enforcement activities have reflected this activist approach. Our panel will discuss what the SEC’s activist agenda means for issuers and their investors and other constituencies.
