The Pitfalls of Corporate Political Spending: How Can Directors and Officers Protect Their Constituencies While Advancing Democracy?

Frances Floriano Goins, Caroline Crenshaw, Antonio Fernandez, Bruce Freed, and Justin Peter Klein

Corporations are a driving force in political funding. Still, too often the values espoused by CEOs are at odds with actual company spending. Ds&Os unaware of legal restrictions can be blindsided by risks and fallout, and incur liability for oversight failures. This program will explore legal, risk management, and ethical issues arising from unregulated corporate participation in the political process, suggest best practices to better protect directors and officers, and review cases of contributions gone wrong.
