An assignment for the benefit of creditors (an ABC) is a state law tool for winding up a distressed business. A distressed debtor assigns its assets to an assignee who liquidates the assets to pay the debtor's creditors. However, the rules for an ABC vary from state to state. The panel will discuss the project of the Uniform Law Commission to create a uniform or model ABC Act.
