Delaware cases have provided guidance on how directors, committees, and their counsel should handle and protect privilege in a variety of situations. They have also explained a director’s access to privileged information. The panel will discuss the lessons in this area that were set forth in recent opinions, including the Icahn Partners and Hyde Park Venture Partners decisions, and compare those principles to the law in other jurisdictions.
