This program will provide in-house practitioners and outside counsel who advise them with broad-based and practical guidance designed to help boards demonstrate that they are satisfying their fiduciary duties and avoiding ethical pitfalls. The program will provide strategic and tactical approaches to establishing that the board has satisfied its duties of care and loyalty, and that the board’s communications and actions are appropriately memorialized, and/or protected by attorney-client privilege, in the event litigation arises.
