Shareholder activism continues to play a significant role in the securities markets, with an increasing impact on company boards and management. The SEC’s universal proxy rules have affected the activism landscape, with informative results from the first year. "Short attacks", where an activist shorts the stock and criticizes the company publicly, are increasingly important. Adherence to corporate governance and securities rules becomes more challenging in an activism situation.
