Dear MMSB Committee Colleagues:

Greetings from Chicago, ground zero for the Polar Vortex. I hope all of our colleagues from the Midwest, North and Northeast have been weathering this most unusual winter.

I look forward to seeing many of you March 28-30 in Vancouver for the Business Law Section Spring Meeting. Please join us for our informative subcommittee and task force meetings, CLE programs, and social activities as we continue our tradition as the “best damn committee” in the whole ABA!

Among other programs of interest, the committee will be offering the following programs:

Start Smart 2.0: Advising Start-ups on Formation and Early Operational Issues (8:00 a.m. on Thursday, March 28)

Handling Internal Investigations, Best Practices and Pitfalls (Corporate Counsel Triage
Series) (10:30 a.m. on Thursday, March 28)

Our committee meeting in Vancouver is set for Friday March 29th 4:30-6:00 p.m. and will include, among other exciting topics, an introduction to Delaware’s recently adopted Divisive Merger statute by Tarik J. Haskins of Morris, Nichols, Arsht & Tunnell LLP. And our Joint Task Force on Short Form M&A Documents Task Force is set for Friday March 29 1:00-2:30 p.m.

Additionally, we continue our work with the M&A Committee on the Model Short Stock Purchase Agreement after our most recent meeting in Laguna Beach, CA in January.

We continue to look for members interested in serving on one of our task forces or subcommittees and members who are looking to expand our offerings.
