M&A Purchase Price Adjustments: Preventing Bumps, Bruises, and Broken Bones

Using recent case studies to illustrate post-closing adjustment pitfalls, the panelists will engage in a discussion on how buyers and sellers can prevent nasty surprises after-the-fact through early recognition of potential issues and practical drafting tips. For those instances in which a post-closing dispute cannot be avoided, the panelists will provide insight into the dispute phase and its dos and don’ts from the varying perspectives of the deal lawyer, the litigator, and the neutral accountant.
