Aiding and Abetting Liability in Mergers and Acquisitions

The Delaware Supreme Court and Court of Chancery recently have issued a number of decisions concerning the potential aiding and abetting liability of advisors to corporate boards of directors in the context of mergers and acquisitions. This program examines those decisions and their implications, and discusses other trends and developments concerning aiding and abetting liability under Delaware corporate law.
