Getting the Money - Roadmap of a Financing Transaction

While every financing transaction is different, there is a "basic" structure to every financing transaction. The program will start, where most transactions start, which is with a discussion regarding relevant due diligence, followed by a brief primer on Article 9 and secured transactions. The panelists will then dive into the documentation of a transaction, including term sheets and commitment letters, the credit and security agreement and ancillary documents. The panelists will also discuss the differing perspectives of the lender and borrower on various provisions of these documents. The final portion of the program will include a discussion on closing a financing transaction, including valuable practice pointers.
