Antitrust Merger Practice Workshop

Dear Colleagues:

The American Bar Association's Section of Antitrust Law is excited to invite you to join us for the Section’s Fourth Merger Practice Workshop, which will be held in San Francisco on October 26, 2018.  In this unparalleled one-day workshop, participants will have the unique opportunity to witness some of the most accomplished private practitioners, corporate counsel, and government enforcers engage with a complex hypothetical merger of two competing high-tech companies.  Through a series of short skits, the workshop will present a comprehensive look at the lifecycle of a merger being investigated in the United States  and China, highlighting critical interactions such as: 

  • Strategy sessions between the parties' internal and external antitrust counsel;
  • The parties' initial presentation to US antitrust enforcers;
  • An internal conference among agency staff to evaluate the parties' advocacy materials;
  • A meeting with economic experts to develop empirical economic evidence  in conjunction with customer testimony and documentary evidence;
  • Investigations by a hypothetical Chinese competition authority and hypothetical Committee on Foreign Investment in the United States;
  • A lively presentation by the parties to the front office to discuss substantive competitive concerns; and
  • An internal agency meeting between staff and the front office to inform whether to challenge the transaction. 

As an immersive experience, the workshop will provide attendees with sample materials, including iterations of a merger agreement, Item 4 documents, illustrative hot documents, and advocacy presentations.  Using interactive voting technology, participants will make the final decision about whether the deal goes through before enjoying a networking reception at the Workshop's conclusion. 

The Merger Practice Workshop represents a truly one-of-a-kind experience designed to interactively engage attendees in a manner accessible for those who are less experienced with the merger review process, while also providing insights for more seasoned in-house counsel, practitioners, and enforcers.

Few industries in the United States have received more attention from the popular press and antitrust authorities than health care. Whether in response to business or legislative and regulatory pressures, health care companies have increasingly looked to transactions as a means to achieve cost savings, quality improvement, and population health management. At the same time, the antitrust agencies have promised robust enforcement in health care markets. The collision of these forces led to many significant legal developments in recent years, and also made producing an up-to-date treatment of these issues challenging.

Financial scholarship applications are available for this conference. To request an application or receive additional information, contact: at-registrar@americanbar.org.  Attorneys who qualify will receive at least a 50% reduction in the course fee(s).  This does not include any reduction in meals, lodging, or travel costs associated with the course.

In the event of cancellation, a refund of the registration fee, less a $50.00 administrative fee, will be granted only for requests emailed to at-registrar@americanbar.org by the cut-off date.”

There is no guarantee that space will be available at the conference for on-site registration.  Your registration fee includes: admission to CLE sessions, CLE credit, continental breakfast, refreshments and course materials.


An e-mail containing the link to course materials will be sent out to all registered attendees one week prior to the Conference.


No audio recording or videotaping of any part of the conference will be permitted.

Registration for, attendance at, or participation in the Section conferences and other associated activities constitutes an agreement by the registrant to permit the American Bar Association to use and distribute (both now and in the future) the registrant or participant’s image or voice in photographs, videotapes, electronic reproductions, audiotapes of such event and activities.


A roster of conference participants is available on the conference website and updated on a weekly basis. Participants must be registered to be listed.
