    As artificial constructs, organizations cannot speak; their ability to communicate depends on employees who are empowered to act on their behalf. It is therefore important for lawyers to understand who among the entity’s employees speaks for it, so that communications between the entity’s lawyers and those employees may be protected against discovery by third parties under the entity’s attorney-client privilege. And, as organizations experience the inevitable turnover in their workforces, it is essential to understand when, if ever, the attorney-client privilege attaches to communications between the organization’s lawyers and its former employees.

    Of course, those are not the only attorney-client privilege issues that arise when a lawyer represents an organization. Whether the privilege attaches to in-house lawyers’ communications is a concern where those lawyers also dispense business advice. The application of the attorney-client privilege to communications between members of a corporate family may pivot on the privilege test a court applies. Where a corporation merges or sells its assets to another entity, post-transaction control of the predecessor corporation’s privilege can become a hotly contested issue. When a corporation dissolves, the ability to thereafter invoke or waive its attorney-client privilege can be a flashpoint. Finally, the application of the attorney-client privilege to partnerships, limited liability companies, and joint ventures is a vital issue as businesses increasingly choose these organizational forms over incorporation, yet there is relatively little law on-point.
