    The LLC form continues to be an excellent choice for a wide range of businesses. To provide the highest level of client service, lawyers who advise business clients need to have a solid familiarity with the essential terms of LLC agreements. Because LLCs generally are taxed as partnerships for US federal tax purposes, many provisions in the LLC agreement are necessitated by US federal tax law. Thus, a basic understanding of the tax provisions in the LLC agreement is a prerequisite to drafting LLC, partnership, and alternative entity agreements.

     

    During this presentation our panelists will provide guidance as to the key tax and tax-related provisions of these agreements, examining their terms, explaining their function in the context of the overall agreement, their relative importance, and how these common and not-so-common provisions can affect the day-to-day operation of the pertinent entity.
