Bank on It: Practical Advice from Veterans of the Bank Merger Review Process

Panelists will demystify the federal competition review of bank mergers, a process which often involves the Federal Reserve Board or other banking regulators, as well as the Antitrust Division of the U.S. Department of Justice. The discussion will feature insights from Erin Grace, who has led the Antitrust Division’s investigations of numerous bank mergers, Dean Amel, Group Manager, Financial Structure Section at the Federal Reserve Board, who evaluates competition issues relating to bank deals, and Joe Matelis, partner at Sullivan & Cromwell, who has shepherded numerous bank mergers through the review process. The panelists will explore what has changed over time with respect to bank merger reviews, describe how the process and analysis applicable to bank mergers differs from traditional HSR reviews, and provide their advice on best practices.
