Efficiencies or Competitive Harm? Examining the Role of Purchasing Cost Savings in Merger Analysis

The program will explore recent agency and judicial treatment of purchasing cost savings in merger analysis. Panelists include Jon Jacobs (Perkins Coie LLP), former Department of Justice trial attorney who served as lead trial counsel for in the Anthem/Cigna merger trial, and Jamillia Ferris (Wilson Sonsini Goodrich and Rosati), formerly of the Office of General Counsel at the FCC who was the lead attorney on the FCC's review of AT&T's acquisition of DIRECTV. Each will discuss their agencies' approach to the merging parties' assertions that purchasing cost savings should be credited as merger specific efficiencies. Joe Miller (Crowell & Moring LLP) who has written on this topic will provide additional commentary. John Snyder of Alston & Bird LLP will moderate.
