    Program Overview:

    Global M&A activity is set to surpass the record highs of 2007.  Managing risks associated with M&A and real estate activity has continued to evolve, particularly with the use of Representations and Warranties (Rep and Warranty) Insurance and Pollution Insurance for tranferring environmental risks. This seminar will cover the current state of the markets for both these solution sets, execution considerations, best practices and how to effectively dovetail these coverages to maximize outcomes and minimize market constraints.  Case studies will be discussed that illustrate effective use of these important risk management tools for M&A, Real Estate and Environmental practitioners.

     
    Presenter:  Alex  Farmer, Kirkland & Ellis LLP
     
    Alex is an associate in Kirkland & Ellis LLP’s Environmental Transactional Practice Group in Washington, D.C. She advises and counsels clients in all areas of environmental law across a wide variety of industries, including the energy, retail, restaurants, food manufacturing, plastics, metal, chemical, mining, and other industrial and services sectors.  Alex works on over a hundred deals a year assisting buyers and sellers, lenders and borrowers, and landlords and tenants to identify, quantify, and allocate environmental liabilities that arise in business and real estate transactions. She regularly counsels clients in acquiring and negotiating environmental and Reps and Warranties Rep & Warranty insurance policies.
     
    Presenter:  Jim Vetter, Marsh Risk and Insurance Services, Inc.

    Jim is a leader in the Marsh Environmental Practice. Jim supports numerous lawyers, corporations, consultants and private equity firms on risk management and insurance solutions for complicated environmental risks and legacies. He has experience delivering successful outcomes on wide ranging applications, including real estate, mergers and acquisitions, restructuring, liability buy outs, guaranteed fixed price remediation projects, brownfields re-development, general corporate risk, and legal settlements. He has particular expertise related to environmental cleanup risks and solutions. Jim also takes a lead role supporting clients on claims management and claims advocacy. He is a frequent public speaker, especially in legal venues.
