Under the Radar: Investigating and Litigating Non-HSR Reportable Mergers

This program will examine how the DOJ and FTC approach investigating and litigating non-reportable transactions under the HSR Act and what factors private practitioners should consider in assessing risk and defending challenges to consummated transactions. Our panel of speakers also will address the difficult issues which can arise in fashioning appropriate remedies and monitoring compliance for those consummated transactions that raise competitive concerns. The discussion will analyze DOJ's and FTC's recent enforcement actions against non-reportable transactions including DOJ v. Bazaarvoice and FTC v. St. Luke’s.
