In transactions with environmental issues, whether common or emerging, every client wants to know: 1) what are my risks; 2) how much will it cost to address those environmental risks; and 3) how can the risks be managed and the costs allocated so I can proceed with the transaction? This panel will address these questions and describe current best practices to manage, minimize and allocate environmental risks whether before the deal, during negotiations, and after closing. The panel will discuss strategies for structuring transactions, and using contractual solutions, including indemnities, escrows and holdbacks, during negotiations. It will also consider current post-closing tools, including environmental insurance, audits, and voluntary cleanups under state brownfields programs to address environmental risks that may arise later.
