PRP Groups are the fundamental governing body at any multi-party Superfund site. They collect money, retain consultants and counsel, make all important decisions and try to allocate costs among what are typically a disparate group of parties, almost all of whom claim that they have no responsibility for the site. Despite PRP Groups’ outsize role in getting things done at superfund sites, there are no actual rules about their governance or function and no handbook from which to learn how to get this done. EPA treats the process as a black box, sensing correctly that it has no authority to get involved in anything but the results. A party interested in starting a PRP Group begins with a blank slate working from the last PRP agreement that they or a client or colleague used at a prior site and that draft becomes the first of many arguments in the group. Parties seeking (or being forced) to join a PRP group face additional issues in identifying and exercising their rights and responsibilities as part of the group. Fortunately, there is a substantial body of lore: experienced superfund counsel have been through the drill before and can frequently cut to the chase in managing these issues. Our panelists will discuss the most important considerations in forming, managing and participating in a PRP group, including organization, managing people and information, and dealing with dysfunction. We will also discuss ethical issues associated with confidentiality and conflicts which arise in these settings.
