Since the 2008 proposal of the digitally-signed minting and transfers of bitcoin recorded in blocks appended by "miners" to an "immutable" blockchain shared on a peer-to-peer network, billions of dollars of value have been gained and lost around "digital assets" resident on or associated with transactions recorded on blockchains with varying distribution and software protocol-defined functionality. "Ownership" of a crypto-coin or non-fungible token ("NFT") is functionally defined such that only a holder of the private key of a prior transferee may make the next transfer (validated for a new appended block). The American Law Institute and the Uniform Law Commission, approved in 2022 amendments to Uniform Commercial Code which provide for "controllable electronic records" analogs to traditional commercial paper, negotiable instruments and secured transactions. This program will explain how the amendments apply to current examples of digital assets in "web3," including NFTs and associated intellectual property.
