In law school, we all learned the basic elements of forming a contract, which, generally speaking are: offer, acceptance, and consideration. We were also taught certain conditions that should be in place when a contract is being formed. A written agreement is the physical form of the agreement between the parties and will be relied upon if there are any discrepancies after the deal is agreed upon in theory. The best way to ensure that the agreement is captured in the best light possible to your client, you will need to make sure that certain basic provisions are contained in the agreement to make it enforceable and favorable to your client should any problems arise later.
