Business Law Basics | Oftentimes, although both Buyer and Seller are highly motivated, their respective expectations of future financial performance of the target can be meaningfully different, creating a gap. One useful tool to bridge that gap is the "earn-out." However, in order for the dealmakers to craft an effective earn-out, they need to understand certain mechanisms of the earn-out. This program will cover structuring considerations, dispute resolution mechanics, valuation considerations, and recent Delaware case law with respect to earn-outs. Without a thorough understanding of these key components, the Buyer or Seller may wind up disadvantaged at the time of the deal or later when it comes time to realize the earn-out. This program will be useful in helping you and your clients think through the various issues attendant to an earn-out structure.
