Cashing out a lucrative business and/or setting up one's heirs for the future is the American way, but many times franchisors are hesitant to approve buyers that do not fit the norm in the system. From non-traditional buyers such as private equity companies, to sale-lease backs, to inter-family transfers, to a family trust or younger child without experience, transfers often bring out an inherent conflict between the franchisor's desire for continuity and the franchisee's desire for an exit strategy. This program drills down on some of the more advanced and unique transfer issues that arise when franchisees want to: sell-out (or are forced to sell-out); bring in the next generation; implement an estate planning strategy; or seek to sell hard assets while retaining their franchised rights to operate the business. The speakers will discuss whether franchisors should craft their franchise agreement transfer provisions with these types of unusual transfer provisions in mind and how to negotiate and navigate through these transfers when they arise, taking into account business issues as well as legal issues.
