Almost every franchisor relies on one or more distributors or suppliers for core supplies, products, or services for their franchise system. Whether a master food distributor, a beverage contract with Coke or Pepsi, a manufacturer of a line of retail products, a vital FF&E provider, the tech company that developed and licenses the franchisor's proprietary online platform or operating software, or the third-party delivery platform provider, franchisors must exercise caution in structuring, drafting, and negotiating these mission-critical arrangements. This program will focus on the strategic considerations in establishing these key relationships and the rights and options (and corresponding disclosure obligations) related to contractual or other monetary arrangements with third-party vendors, including direct payments, discounts, and rebates. This workshop will also focus on advantages and disadvantages of including franchisees in the contracting process and passing along to them the economic benefits of the arrangements.
