Many thought antitrust claims were essentially dead in the franchise context, but antitrust issues continue to pop up for franchisors and franchisees and seem to be having a resurgence as potential claims in franchise cases. Using a practical approach, this program will provide an introduction to antitrust issues every franchise lawyer should be familiar with in a modern context as they continue to arise in franchise relationships on a day-to-day basis. Understanding the roots of an issue is important, so franchise lawyers should be equipped with an understanding of the intersection of franchise law and antitrust law. Issues covered will include federal and state law constraints on how much control over pricing is too much control, whether vague descriptions of proprietary product pricing or rebates are too vague, whether pre- and post-term customer restrictions are too restrictive, whether tying arrangements based on products ancillary to the core franchise can create problems, and whether anti-poaching issues are just a Washington state issue.
