Practically every state has enacted some statute or regulation affecting dealers and distributors across a wide range of industries (motor vehicle, alcoholic beverage, farm equipment, etc.). The variation of these laws and their impact in the franchise or distributor/dealer context create another layer of complexity for manufacturers and suppliers. These statutes and regulations differ in numerous, sometimes subtle, ways, but the common theme is to protect dealers and distributors. This workshop will survey the most common kinds of dealer protection laws and will discuss potential pitfalls and remedies litigators and transactional lawyers should be aware of when counseling clients who are parties to dealer and/or distributor agreements, with particular focus on default and termination, transfer, renewal, market withdrawal, territory, encroachment, diversion, and other sale and relationship issues unique to dealers. The paper will also include an appendix of certain key state statutes that will serve as a quick resource guide.
