Many franchise systems engage master franchisees or area representatives to assist with selling and servicing franchisees. NASAA thought it was such an important area that it adopted a Multi-Unit Commentary in 2014 which introduced definitions and minimum requirements for disclosure and registration. However, inevitably when introducing a middleman via contract or delegation of authority, confusion and conflicts arise. Focusing on the challenges of domestic three-party relationships, this program reviews the key allocation of rights and responsibilities among franchisors, master franchisees or area representatives, and unit franchisees, including best practices for drafting both to address the division of labor and decision-making authority among franchisors and their master franchisees or area representatives and to plan ahead for conflict and relationship issues when they arise among all the stakeholders.
