Corporate Director's Guidebook, Eighth Edition
When founders retain a lawyer to form a business, who is the client: the founders themselves, the new entity, or some combination of both? This program will explore the following topics: (1) ethical issues when working with a startup: distinguishing the interests of individual founders from the interests of the entity as the client; (2) ethical issues in lawyers receiving equity ownership in connection with representing a startup; (3) ethical issues when advising growth companies on equity financings and other transactions: keeping the duties and interests of board members, shareholders and investors separate and distinct from the duties, obligations and interests of the company as the client; (4) ethical issues relating to conflicts of interest and possible duties to third parties; and (5) ethical issues when advising the private company preparing for sale: understanding the distinctions between advising the company as client and the interests of shareholders, affiliates and other constituents when preparing for the exit.
