Dating back at least as far as the Donahue v. Rodd Electrotype decision, the "oppression" of shareholders has been a staple of the law school curriculum and lawsuits arising out of the effort to balance the rights of shareholders against the rights of the Board of Directors and the majority of the shareholders to determine the corporation's path. Whether and how those principles can or should be applied in the primarily contractual context of LLCs will be considered by this panel. Is it even possible to "oppress" a party to a contract (the operating agreement)? May "contractual fiduciary duties," if they are fiduciary, support a claim of oppression?
