    After the space, the term, and the rent are agreed, the sublet and assignment provisions are often the most heavily-negotiated aspects of a commercial lease.  This program will take an in-depth look at these provisions, including those applicable to transactions with successors and affiliates and those applicable to transactions with outsiders, i.e. “real” subletting.

    Topics covered will include:

    • Under what circumstances ought a tenant be entitled to proceed without landlord consent
    • If landlord’s consent is to be required, on what grounds ought the landlord be entitled to withhold consent and how should the process of requesting and obtaining consent be structured
    • Landlord recapture of premises sought to be sublet, including the various types of recapture transactions
    • Profit sharing, including what costs ought to be deductible in computing profits and how should the profit calculation be made
